TERMS AND CONDITIONS

Terms for use of the Miner Mania platform powered by Miner Mania

The following are the terms and conditions (“Terms”) applied to Miner Mania by Miner Mania, a “Game” organized by Ebisu IP NV (Curacao) ( together, “Miner Mania”, “we” or “us”). In case of any dispute relating to the Game, including without limitation, any interpretation and application of any of the Terms and/ or any omission in any of the Terms, Miner Mania shall determine in our sole and absolute discretion how such dispute shall be finally resolved.

DEFINITIONS

“Miner Mania”, “we”, or “us” means Ebisu IP NV (Curacao) , the company organizing and operating the Game.
“Game” refers to Miner Mania powered by Miner Mania, the play-to-earn game organized by Miner Mania .
“Participant” or “User” means any individual who registers for and participates in the Game.
“Banned Jurisdiction” means any country, state, territory, or jurisdiction where participation in the Game is prohibited by law or where Miner Mania has restricted access, as defined in the User Agreement.
“User Agreement” refers to the agreement that includes additional terms and conditions applicable to the Game, which may define terms like “Banned Jurisdiction.”
“Reward” refers to any benefit, compensation, or prize that a Participant may receive through participation in the Game.

ELIGIBILITY

The Game is open for registration and participation by individuals who meet all of the following criteria:

Age Requirement: You must be at least 18 years old.

Valid Email Address: You must have a valid email address.

Jurisdictional Restrictions:

Banned Jurisdictions: You must not reside in or access the Game from any Banned Jurisdiction, as defined in the User Agreement. The current list includes:

People’s Republic of Korea

Myanmar

Iran

United States Participants:

Players who are residents, citizens, or located within the United States (“U.S. Players”) acknowledge and agree that, upon the release of CPZ Tokens, they will be subject to an additional lock-up period. The specific terms and duration of this Lock-Up Period will be determined by Miner Mania at its sole discretion and will be communicated to U.S. Players prior to the token launch. U.S. Players agree not to sell, transfer, assign, or otherwise dispose of any CPZ Tokens received from the conversion of Ore during the Lock-Up Period as specified by Miner Mania.

Compliance with U.S. Laws: This provision is necessary to comply with United States laws and regulations. U.S. Players agree to abide by all applicable laws governing the holding and transfer of CPZ Tokens.

Other Restricted Jurisdictions:

Additional Lock-Up Provisions: Players from other countries or regions that Miner Mania deems necessary (“Restricted Jurisdictions”) may also be subject to similar lock-up periods or restrictions as determined by Miner Mania at its sole discretion.

Notification: Miner Mania will inform affected Players of any additional restrictions prior to the conversion of Ore into CPZ Tokens.

Certification: Before completing registration, you must certify that you:

(a) Are over 18 years old.

(b) Do not reside in a Banned Jurisdiction or any Restricted Jurisdiction subject to additional conditions.

(c) Have provided and will continue to provide true, accurate, and complete information as required, to be determined by Miner Mania at its sole discretion.

(d) Agree to these Terms and any other applicable terms and conditions.

Employee Exclusion: Employees of Miner Mania or its affiliates, and any person who has directly participated in the operation, execution, or management of the Game—including their spouses and close family members—are not eligible to participate.

Compliance Verification:

Miner Mania may at any time request that you demonstrate compliance with these Terms and other applicable conditions to be determined by Miner Mania at its sole discretion.

Failure to comply or refusal to demonstrate compliance may result in expulsion from the Game without compensation, including forfeiture of any Rewards.

Release of Information:

As a condition of registration and participation, you agree that, if requested by Miner Mania, your first name and country of residence may be published on Miner Mania’s social media channels.

DECISIONS OF Miner Mania, LIMITATION OF LIABILITY AND DISCLAIMERS

Miner Mania shall have the sole discretion to amend and/ or to make any decision relating to the Terms and other conditions and requirements relating to the Game reasonably determined by Miner Mania. Miner Mania further reserves the right, without prior notice or obligation, to modify, extend, shorten, suspend, postpone, or terminate the Game, and/ or to modify access and/or operating procedures of the Game. For the avoidance of doubt, the duration of the Game, any rewards allocated to the Game may be modified or terminated by Miner Mania at its sole discretion. Miner Mania will endeavor to notify participants of any such material modification by such media as it deems fit. All decisions made by Miner Mania in respect of the foregoing are final, binding and not subject to appeal. Miner Mania shall not have liability whatsoever to any person including but not limited to participants in respect of any decision or determination made with respect to the Game.

Miner Mania, its affiliates and their respective employees, directors, officers, contractors and agents (collectively “Miner Mania Persons”) shall not have any liability whatsoever in relation to the Game and to any participant, including without limitation, any liability or loss arising out of the following events:

any force majeure or fortuitous event beyond Miner Mania Persons’ control that partially or totally depriving participants of the possibility of participating and receiving any rewards in the Game;

any delay or failure in participant’s receipt of any reward for any reason whatsoever, including without limitation, any delay or failure caused by any service provider engaged by Miner Mania Persons or any damage, theft or loss during transmission, delivery or (once transmitted or delivered) possession by the participant of the reward;

any failure or malfunction of the internet network, any computer, hardware, software and/or database of the participants or of any Miner Mania Persons, and more generally, any problem deriving from (tele)communication networks, processes, and services, from computers (on and offline), servers, internet service providers and/or web hosts, computer hardware, databases, and personal data;

accessibility or other issues arising from any webpage relating to the Program, including any tampering virus, bug infecting the computer hardware of the participant, Miner Mania Persons and/or any other property.

USER CONDUCT AND PROHIBITED ACTIVITIES

To ensure a fair and enjoyable gaming experience for all Users, it is essential that you adhere to the following rules of conduct when accessing or using the Game. Violations of these rules may result in the suspension or termination of your Account, forfeiture of Virtual Assets (including Ore), and other actions deemed appropriate by Miner Mania.

Prohibited Conduct

1.1 Cheating and Unauthorized Activities

You must not engage in any form of cheating or use unauthorized methods to gain an unfair advantage over other players. Prohibited activities include, but are not limited to:

Using unauthorized software, bots, scripts, or automation tools.
Employing hacks, mods, or any third-party software that interacts with the Game.
Manipulating or interfering with the Game mechanics to alter outcomes or progress artificially.

1.2 Exploitation and Misuse of Technical Issues

Prohibited Conduct: You are strictly prohibited from exploiting or misusing any bugs, glitches, game errors, connection issues, or other technical problems (collectively, “Technical Issues”) in the Game to gain an unfair advantage or negatively impact the experience of other Players. Engaging in such activities constitutes a material breach of these Terms.
Obligation to Report: If you discover, become aware of, or have a reasonable belief that a Technical issue may exist, that allows you to take unfair advantage you are obligated to promptly notify Miner Mania at support@Miner Mania.com. Failure to report a Technical Issue is a violation of these Terms.
Assumption of Risk and Consequences: Continuing to use the Game after discovering a Technical Issue without reporting it is done at your own risk. Miner Mania reserves the right, at its sole discretion, to take appropriate action against you, which may include:

- Reduction or Removal of Virtual Assets: Reducing or eliminating your accumulated Ore or other virtual assets.
- Account Suspension or Termination: Temporarily suspending or permanently terminating your Account without prior notice.
- Legal Action: Pursuing any remedies available under applicable law.

Purpose of This Clause: This provision is necessary to protect the integrity of the Game and ensure a fair experience for all Players. By adhering to these guidelines, you help maintain a positive gaming environment.

Account Usage

2.1 Single Account Policy

Each User is allowed to create and use only one (1) Account. Creating or using multiple Accounts by the same individual (“Multi-Accounting”) is strictly prohibited.
You must not share, sell, rent, or transfer your Account or login credentials to anyone else.

2.2 Accurate Information and Verification

You are required to provide accurate and up-to-date information during Account registration and maintain the security of your Account.
Miner Mania reserves the right to request verification of your identity to ensure compliance with these Terms. Failure to provide accurate information or comply with verification requests may result in suspension or termination of your Account.

Enforcement and Consequences

3.1 Monitoring and Investigation

Miner Mania may monitor and review your use of the Game to ensure compliance with these Terms.
If suspicious activity is detected, your Account may be suspended during the investigation without prior notice.

3.2 Consequences of Violations

If we determine, at our sole discretion, that you have exploited the Game in an unfair manner that disadvantages other players, or engaged in any prohibited conduct, Miner Mania reserves the right to take one or more of the following actions:

Reduce, remove, or reset any Ore, Virtual Currency, virtual items, or Rewards associated with your Account.
Suspend or permanently terminate your Account without prior notice.
Exclude you from participating in current or future Game activities or events.
Pursue any other remedies available under applicable law.

No Refunds or Compensation

In cases of Account suspension or termination due to violations, you are not entitled to any refunds or compensation for unused Virtual Currency, virtual items, or other in-game assets.

Reporting Violations

If you notice any User engaging in prohibited activities, please report them to Miner Mania at support@Miner Mania.com.
Your report will be kept confidential and will help us maintain a fair gaming environment.

INTELLECTUAL PROPERTY RIGHTS

Ownership Rights

1.1. Miner Mania’s Intellectual Property

All content and materials within the Game, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and any other elements (“Game Content”), are the exclusive property of Miner Mania and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

1.2. Trademarks

“Miner Mania,” “Miner Mania,” and all related logos, service names, designs, and slogans are trademarks of Miner Mania or its affiliates. You must not use such marks without the prior written permission of Miner Mania. All other names, logos, product and service names, designs, and slogans in the Game are the trademarks of their respective owners.

1.3. License to Use

Subject to your compliance with these Terms, Miner Mania grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Game and Game Content for your personal, non-commercial entertainment purposes only. You agree not to use the Game or Game Content for any other purpose without Miner Mania’s prior written consent.

User-Generated Content

2.1. Definition

“User-Generated Content” means any content, materials, or information that you create, upload, submit, post, transmit, or make available through the Game, including but not limited to text, messages, information, graphics, photos, comments, suggestions, or other materials.

2.2. Ownership of User-Generated Content

You retain ownership of any intellectual property rights that you hold in your User-Generated Content. However, by creating, uploading, submitting, or posting User-Generated Content in connection with the Game, you grant Miner Mania a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User-Generated Content in connection with the Game and Miner Mania’s (and its successors’ and affiliates’) business, including for promoting and redistributing part or all of the Game (and derivative works thereof) in any media formats and through any media channels.

2.3. Representations and Warranties

By submitting User-Generated Content, you represent and warrant that:

You own or have the necessary licenses, rights, consents, and permissions to use and authorize Miner Mania to use all intellectual property rights in and to your User-Generated Content.
Your User-Generated Content does not infringe upon, misappropriate, or violate any third party’s intellectual property rights, privacy rights, publicity rights, or other personal or proprietary rights.
Your User-Generated Content complies with these Terms and all applicable laws and regulations.

2.4. Prohibited Content

You agree not to create, upload, post, or transmit any User-Generated Content that:

Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
Contains viruses, corrupted data, or other harmful, disruptive, or destructive files.
Violates any applicable laws or regulations.

2.5. Monitoring and Enforcement

Miner Mania reserves the right, but not the obligation, to monitor, review, screen, delete, or edit any User-Generated Content at any time and for any reason, including for compliance with these Terms, without prior notice to you. Miner Mania may also suspend or terminate your access to the Game for submitting such prohibited content.

Feedback

Any feedback, comments, or suggestions you may provide regarding the Game (“Feedback”) is entirely voluntary and Miner Mania will be free to use such Feedback at its sole discretion without any obligation to you.

Infringement Notices

If you believe that any content in the Game infringes upon your intellectual property rights, please notify Miner Mania promptly with detailed information so that appropriate action can be taken.

PERSONAL DATA PRIVACY POLICY

By participating in the Program, the participant confirms that he/ she has read, and understands and agrees to be bound by Miner Mania’s privacy policy as amended from time to time, available at Miner Mania by Miner Mania’s website at https://minermania.io/

DISCLAIMER

The information provided herein should not be construed as a distribution, an offer to sell, or a solicitation to buy any products or services in any jurisdiction where such activities would be unlawful under the laws of such jurisdiction. It is the responsibility of any persons who access the information herein to observe all applicable laws and regulations of their relevant jurisdiction. By proceeding, you represent and warrant that all the applicable laws and regulations of your jurisdiction allow you to access the information. We and our affiliates expressly disclaim all and any responsibility if you access the information herein may not be available or appropriate for use in all jurisdictions or countries, or by all customers or counterparties. We do not represent or warrant that any information displayed herein is available or suitable for any particular user.

TERMINATION

Rights to Terminate

1.1 Termination by Miner Mania

Miner Mania reserves the right, at its sole discretion, to suspend or terminate your Account and access to the Game at any time, with or without prior notice, for any reason, including but not limited to:

Violation of Terms: If you violate or breach any of these Terms or any other agreements or guidelines related to the Game.
Illegal or Unauthorized Use: If you engage in any illegal activities or unauthorized use of the Game, including but not limited to cheating, hacking, using bots, or exploiting bugs.
Fraudulent Activity: If you provide false, inaccurate, or misleading information or engage in fraudulent or deceptive practices.
Inactivity: If your Account remains inactive for an extended period as determined by Miner Mania.
Compliance with Laws: If required by law enforcement, government agencies, or applicable laws and regulations.
Discontinuation of Service: If Miner Mania decides to discontinue the Game or any part thereof.

1.2 Termination by User

You may terminate your Account and cease using the Game at any time by:

Account Deletion: Following the account deletion process provided within the Game or on Miner Mania’s website.
Notice to Miner Mania: Providing written notice to Miner Mania requesting termination of your Account.

Effect of Termination

2.1 Account Deactivation

Upon termination of your Account for any reason:

Access Cessation: Your right to access and use the Game will immediately cease.
Forfeiture of Virtual Assets: All in-game progress, Virtual Currency (including Ore and CPZ Tokens), virtual items, and Rewards associated with your Account may be forfeited and are non-recoverable.
Deletion of Data: Miner Mania may delete or deactivate your Account and all related information and files, without liability to you.

2.2 No Refunds or Compensation

Virtual Currency and Items: You will not be entitled to any refund or compensation for any unused Virtual Currency, virtual items, or other in-game assets lost due to termination.

2.3 Survival of Terms

Provisions of these Terms that, by their nature, should survive termination shall survive, including but not limited to:

Intellectual Property Rights
Disclaimers and Limitation of Liability
Governing Law and Dispute Resolution

2.4 Outstanding Obligations

Breach Liability: You remain liable for any breaches of these Terms and any obligations incurred prior to termination.

Reactivation

Miner Mania’s Discretion: Miner Mania may, at its sole discretion, allow you to reactivate your Account subject to conditions it deems appropriate.
Restoration of Assets: Miner Mania is under no obligation to restore any forfeited Virtual Currency, virtual items, game progress, or Rewards upon reactivation.

Disputes Regarding Termination

Contacting Miner Mania: If you believe your Account has been terminated or suspended in error, you may contact Miner Mania at support@Miner Mania.com to request a review.
Final Decision: Miner Mania’s decision regarding termination and any related disputes is final and binding.

Termination of the Game

Discontinuation: Miner Mania reserves the right to discontinue or modify the Game, or any part thereof, at any time without liability to you.
Notice: Miner Mania will endeavor to provide reasonable notice to Users prior to terminating the Game or any significant part of it.
Effect on Users: In the event of discontinuation, all rights granted to you under these Terms will cease, and provisions relating to the Effect of Termination will apply.

Acknowledgment

Understanding of Terms: By using the Game, you acknowledge that you have read, understood, and agreed to these Termination provisions.
Acceptance of Risk: You accept that termination of your Account may result in the loss of data and virtual assets, for which Miner Mania is not liable.
